Can Foreigners Buy Property in Bali? A Structure-by-Structure Decision Guide (2026)

Foreigners cannot hold Hak Milik directly, but that does not reduce every Bali purchase to one option. Use this matrix to test leasehold, Hak Pakai and PT PMA/HGB against your intended use and risk.

Your first decision is not which villa to buy. It is who or what should hold the legal interest, for what use, and under which Indonesian structure.

A foreign buyer may consider a contractual lease, qualifying residential ownership under Hak Pakai, or an Indonesian foreign-investment company holding Hak Guna Bangunan, commonly called HGB. These routes do different jobs. The right choice depends on whether the property is a home, an income-producing hospitality business, or an asset that may later be transferred.

Foreign nationals cannot hold Hak Milik, Indonesia’s strongest form of private land ownership, directly. The official ATR/BPN guidance on land rights for foreigners sets out the relevant regulatory framework, while PP No. 18 of 2021 is the current core regulation covering land rights, management rights, apartment units and land registration.

That restriction should not be answered with a nominee arrangement or a casually drafted side agreement. Instead, define four facts before discussing structure:

  1. Will the property be occupied personally, rented commercially, or both?
  2. Is the buyer an individual or a genuine operating business?
  3. How long must control last, including any extension period?
  4. Does the buyer expect to sell the interest, inherit it, or transfer company shares?

These answers narrow the viable route before commercial terms distract from legal fit.

Compare the three structures

This matrix is a screening tool, not a substitute for reviewing the specific certificate, owner, site and transaction documents.

Use leasehold when contractual control matches the plan

A leasehold gives the lessee contractual rights rather than registered ownership of the underlying land title. Its practical value therefore depends on the deed: the parties, property description, payment record, possession rights, permitted use, default provisions, assignment rights and extension mechanism all matter.

An extension pathway is stronger when the timing, method, pricing basis, notice procedure and consequences of refusal are written clearly. A vague promise to extend later is not equivalent to a presently enforceable option.

Project-specific, operator-reported term: Pronoia uses a secured long-term lease with an extension pathway. Buyers should still test what “secured” means in the executed documents, how the extension operates, and whether owner consent is required for a later transfer. The broader distinctions are covered in Bali leasehold vs freehold and the project structure is described on the ownership page.

Leasehold can suit personal use or an investment plan, but the lease alone does not establish permission for short-term accommodation or hospitality operations.

Consider Hak Pakai for a qualifying personal residence

PP No. 103 of 2015 governs residential ownership by qualifying foreign nationals. In broad terms, this route concerns eligible foreigners residing in Indonesia and qualifying residential property. PP 18/2021 also addresses the applicable land and registration framework.

Hak Pakai should be assessed when the primary objective is a legally held residence rather than a corporate hospitality operation. Counsel should confirm the buyer’s immigration eligibility, the property’s title and category, applicable limits, and what happens if the buyer’s status or use changes.

Do not assume every villa marketed to foreigners can be converted into, or acquired under, Hak Pakai. The existing certificate, land status, building approvals and intended occupancy must support the route.

Use PT PMA/HGB only for a real business structure

A PT PMA is an Indonesian foreign-investment company. Where legally eligible, the company may hold HGB, a registered right to build and use land for the permitted purpose. The foreign investor controls shares in the company rather than holding the land personally.

This can fit a genuine development or hospitality business, but it is not a decorative ownership wrapper for private use. The company’s business classification, investment licensing, corporate approvals, reporting, building use and operating licences must align with what actually happens at the property.

Transfer planning also becomes more involved. Selling the property out of the company and selling shares in the company are different transactions. A share buyer may inherit company liabilities, while an asset transfer requires its own land, consent, registration and tax analysis. Current costs and taxes should be obtained for the exact transaction rather than inferred from online tables.

Run a document-first decision protocol

Before paying a non-refundable amount, work through this sequence:

  1. Map the holder: Identify the registered title holder and verify authority to lease or transfer.
  2. Read the certificate: Confirm the right type, boundaries, term, encumbrances and consistency with the physical site.
  3. Match use to permissions: Check zoning, building approvals and any accommodation or business licensing needed for the intended operation.
  4. Test the term: Compare the investment horizon with the legal term and any extension or renewal mechanism.
  5. Model the exit: Identify who can acquire the lease, Hak Pakai interest, asset or company shares, and whose consent is needed.
  6. Check the counterparty: Review identity, corporate authority, spouse or co-owner issues where applicable, disputes and security interests.
  7. Reconcile every document: Names, plot references, building areas, access rights and payment milestones should agree across the package.

Use the fuller Bali property due diligence checklist for the site review. For a development purchase, add the construction and delivery checks in buying an off-plan villa in Bali.

Bring independent Indonesian counsel in before commitment

Independent Indonesian counsel is needed before commitment when the structure involves Hak Pakai eligibility, a PT PMA, HGB, title conversion, an extension option, commercial rental use, company or asset transfers, inherited land, encumbrances, disputed access, inconsistent documents, or any nominee proposal.

Counsel should act for the buyer and review the structure before the reservation, lease, transfer deed or share agreement becomes binding. Do not assume that a seller-appointed document preparer or transaction notary has the same mandate as the buyer’s independent adviser.

The final check is simple: can counsel identify the legal holder, permitted use, enforceable term and workable exit from the signed documents alone? If any answer depends on an oral promise, pause before funds become non-refundable.
