Clarity and Decision Precision programme at Pronoia

Buying remotely means deciding whether you can verify the property, contracting parties and payment conditions without relying on a sales presentation. The process can work, but convenience should never reduce the evidence required.

Operator-reported fact: Pronoia states that remote document review, remote signing and staged payments are available, with the same documents and owner programme applying to remote buyers. See its Reserve & Stay information and ownership process. These are descriptions of the operator’s process, not independent legal opinions. Your advisers should test the transaction documents against them.

Decide whether remote completion is acceptable

Start by separating what can be handled remotely from what still needs local professional verification. Reviewing scans, joining live calls and signing from abroad may be practical. Confirming land rights, authority, permits, construction status and enforceability requires evidence tied to the specific transaction.

Indonesia’s land framework is governed in part by Government Regulation No. 18 of 2021. The appropriate ownership or contractual structure depends on the buyer, land status and transaction. Do not infer your rights from another buyer’s arrangement. Indonesian counsel should explain what you will legally hold, for how long, and subject to which renewal, transfer, use or termination provisions. For broader context, read foreigners buying property in Bali.

A remote purchase is not ready to proceed if the seller will not provide a complete document set, permit independent review, identify the payment recipient or show the property live.

Establish the parties and authority

Identify every party by full legal name and role. The developer, landowner, project company, operator, sales agent and payment recipient may not be the same entity. Ask for current corporate records and identification appropriate to each contracting party, then have counsel verify who owns or controls the relevant rights and who can bind the company.

Use this worksheet before substantive review:

CheckEvidence to obtainQuestion to resolve
BuyerPassport or entity recordsIs the buyer name identical across all documents?
Seller or grantorIdentity and corporate recordsDoes this party hold the right being transferred or granted?
SignatoryAppointment or authority evidenceCan this person execute the agreement?
Land and villaTitle, survey, plans and project identifiersDo all records refer to the same site and unit?
OperatorManagement or owner-programme termsWho performs which services, for what term and cost?
BeneficiaryAccount-name evidence and written payment instructionWhy is this entity entitled to receive funds?

If anyone proposes signing through a representative, ask independent counsel to confirm the required authority, form, witnessing, notarisation, legalisation or other formalities. Do not assume a power-of-attorney arrangement is available or sufficient.

Obtain and review the complete file

Request the full document set at one time, with a dated index and legible copies. Depending on the transaction, this may include land and corporate records, the reservation document, principal agreement, specifications, plans, construction schedule, payment schedule, management terms, owner-programme rules, fee disclosures, insurance information, permit materials and handover procedure.

The exact list is transaction-specific. Use the Bali property due diligence checklist to organise questions, then have independent Indonesian counsel identify missing or inconsistent items. Counsel should act for you, not merely prepare documents for the seller.

Compare names, dates, plot references, villa number, floor area descriptions, inclusions and payment amounts across every document. Request a written explanation and corrected document for each mismatch. Keep both versions. A promise in a call or message should be inserted into the contract if you expect to enforce it.

Verify the property and milestones live

A live video inspection provides more information than edited progress images, although it does not replace technical inspection. Arrange a call at a scheduled time and ask the presenter to move continuously from the access road to the site, unit and relevant boundaries. Have them show a phone or another time reference, nearby fixed features, utility areas and the unit identifier.

For an off-plan purchase, request evidence matched to the contractual milestone rather than accepting a general progress update. The off-plan villa guide explains why construction and payment sequencing need particular attention.

Record the call only with the participants’ consent. Save dated screenshots, the attendee list and written answers. If the stage is technically significant, appoint a qualified local inspector to report independently. A seller’s video establishes what was shown, not whether concealed work, measurements or compliance are satisfactory.

Confirm contract language and signing formalities

Read the controlling contract, not only a translation or term sheet. Ask counsel which language version governs and whether Indonesian-language requirements affect the agreement. If documents are bilingual, require clarification of what happens when versions differ.

Before signing, freeze the final document set. Each file should have a clear name, date, version and complete schedules. Check that blank fields are completed and that plans, specifications, payment dates and owner-programme terms are attached.

Pronoia reports that remote signing is available, but the correct method depends on the document and parties. Do not assume that a typed signature, scanned signature, signing platform or overseas witnessing process will be enforceable. Your counsel must confirm the permitted signing method and any witnessing, notarisation, legalisation, original-document or registration requirements before execution.

On the signing call, confirm each signatory’s identity, authority and final file version. Afterward, obtain a fully executed copy and evidence that any required post-signing steps were completed.

Release payments only against defined evidence

Treat payment instructions as a controlled process. Verify the beneficiary’s legal name, bank details and relationship to the contract using two separate channels. For example, compare formal written instructions with confirmation obtained through a known contact on a live call. This is an illustrative verification method, not a prescribed banking procedure.

Do not accept a changed beneficiary or account based only on email or messaging. Pause and repeat the verification. Independent counsel should also confirm whether the proposed recipient is consistent with the contract.

Use this payment protocol:

  1. Match the amount and due date to the signed schedule.
  2. Identify the contractual trigger, such as execution or an evidenced construction stage.
  3. Obtain the required invoice, certificate, report, photographs or inspection evidence.
  4. Resolve defects, delays and document gaps before treating the trigger as met.
  5. Reconfirm beneficiary details and payment reference.
  6. Save the instruction, approval, transfer receipt and recipient acknowledgement together.
  7. Update a ledger showing contracted amount, amount paid, date, currency, trigger and balance.

Staged payments are operator-reported as available, but the stages, evidence and remedies are project-specific. The signed contract should state what proves completion, who assesses it, when payment becomes due and what occurs after delay or disagreement. The current project summary appears on the internal Reserve & Stay page; the executed documents should control your purchase.

Complete handover as a separate decision gate

Handover should have its own checklist: independent inspection where appropriate, snag list, rectification deadlines, inventory, keys and access credentials, utility status, manuals, warranties, insurance documents, final plans, payment reconciliation and management onboarding. Record meter readings and the condition of furnishings with dated photographs.

Remote handover may be workable if your appointed representative’s authority and duties are documented and counsel confirms the formalities. Otherwise, schedule an in-person visit before final acceptance or the last payment. An optional visit is most valuable when it is tied to a decision point, not treated as a tour.

Before releasing the final amount, confirm in writing that the executed contract, payment ledger, milestone evidence, inspection record, snag resolution and handover pack all refer to the same buyer, property and transaction.
